Welcome to the Matthew Bartolo Members Portal. By accessing and using this website, you accept and agree to be bound by the terms and conditions outlined below.

Nothing in these terms removes rights you have as a consumer under Maltese or European Union law. Where a clause here conflicts with a right the law gives you, the law wins.

1. Acceptance of Terms

By creating an account and accessing the Members Portal, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our services.

2. Who You Are Contracting With

The Members Portal is operated by Matthew Bartolo, a sole trader based in Malta. Any contract you enter into through this portal is with Matthew Bartolo.

Contracts are concluded in English. We do not file a copy of individual contracts, so please keep your confirmation email and a copy of these terms.

3. Eligibility

You must be at least 16 years old to create an account and use the Members Portal. By registering, you confirm that you meet this age requirement and that you have the legal capacity to enter into this agreement.

If we learn that an account belongs to someone under 16, we will close it and delete the associated personal data.

4. Membership and Access

Account Creation: You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials.

Membership Content: Access to exclusive content, resources, and materials is granted to active members only. Content may not be shared, redistributed, or used for commercial purposes without explicit written permission.

Account Security: You are responsible for activity that takes place under your account where it results from your own act or omission, such as sharing your password or failing to keep it secure. Please notify us immediately of any unauthorised use of your account, and we will act promptly to secure it.

5. Use of Content

All content provided through the Members Portal, including but not limited to articles, videos, exercises, and resources, is for personal, non-commercial use only.

Intellectual Property: All content is the intellectual property of Matthew Bartolo or licensed content providers and is protected by copyright laws. You may not reproduce, distribute, or create derivative works without permission.

Personal Use Only: Content is intended for your personal growth and development. You may not use the content for professional training, consulting, or any commercial application without a separate commercial license.

Your Reflections: Anything you write in a reflection form stays yours. We store it so you can return to it, and we do not publish it, sell it, or use it to train artificial intelligence models. See our Privacy Policy for how it is handled.

Copyright Complaints: If you believe content on this portal infringes your copyright, email us at matthew@matthewbartolo.com with details of the work and where it appears, and we will investigate and remove infringing material where appropriate.

6. Professional Disclaimer

Not a Substitute for Professional Care: The content provided through this portal is for educational and informational purposes only. It is not intended to be a substitute for professional mental health advice, diagnosis, or treatment.

Seek Professional Help: If you are experiencing a mental health crisis or emergency, please contact emergency services or a mental health professional immediately. Always seek the advice of qualified health providers with any questions you may have regarding a medical or psychological condition.

No Therapeutic Relationship: Membership in this portal does not establish a therapist-client or professional relationship between you and Matthew Bartolo.

Reflections Are Not Monitored: Reflection responses are a private journalling tool. They are not read in real time and are not a way to reach anyone in an emergency. If you need urgent help, contact emergency services rather than submitting a reflection.

7. User Conduct

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Share your account credentials with others
  • Attempt to gain unauthorised access to the portal or related systems
  • Interfere with or disrupt the services or servers
  • Scrape, bulk-download, or systematically copy content from the portal, whether manually or by automated means
  • Use the content for any harmful or illegal purposes

8. Privacy and Data Protection

We collect and process your personal data in accordance with the GDPR and Maltese data protection law. To run the Service we rely on a small number of service providers, including our database, hosting, email, and payment providers, each of which processes data on our instructions under a data processing agreement.

Our Privacy Policy is the authoritative description of what we collect, why, who receives it, how long we keep it, and what rights you have. It forms part of these terms.

We do not sell your personal data, and we do not share it for advertising purposes.

9. Payment and Subscriptions

Subscription Tiers: We offer two paid membership tiers (Tier 1 and Tier 2) in addition to the free plan. Each tier provides access to different levels of content and features as described on our Plans page. Current prices are shown on the Plans page and at checkout before you pay, inclusive of any applicable tax.

Billing Cycle: Paid subscriptions are billed monthly from the date of purchase. Each billing period is 30 days. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

Cancellation:You may cancel your subscription at any time from your profile settings. Upon cancellation, you will retain access to your current tier's content until the end of your current billing period. After that, your account will revert to the Free plan.

Downgrades: You may downgrade your subscription tier at any time. When you downgrade, the change takes effect immediately and you will receive access to the lower tier. Any remaining days from your previous billing period will be honoured as a complimentary period before billing begins for the new tier.

Re-subscribing: If you cancel your subscription and later choose to re-subscribe (to the same or a lower tier), any remaining days from your previous billing period will be honoured before new billing begins. Upgrading to a higher tier requires immediate payment and begins a new billing cycle.

Refunds: Beyond the statutory right of withdrawal described in Section 10, subscription fees are non-refundable, and we do not give partial refunds for unused days in a billing period following cancellation, downgrade, or account termination. This does not affect your right to a remedy if the Service is faulty or not as described.

Automatic Renewal: Subscriptions automatically renew unless cancelled before the renewal date. You will be notified before your subscription renews. You may cancel your subscription at any time through your account settings.

Failed Payments: If a recurring payment fails, your subscription will enter an overdue status and you will be granted a short grace period during which access is maintained while payment is retried. If all payment retries fail, your subscription will be cancelled and access will revert to the Free plan.

Price Changes: We reserve the right to modify subscription prices. You will be notified at least 30 days before any price change takes effect. Price changes will not affect your current billing cycle, and you may cancel before the new price applies.

Payment Processing: All payments are processed securely through Revolut, our payment processor. We accept major credit and debit cards. By providing your payment information, you authorise us to charge your chosen payment method for subscription fees. Your payment details are handled directly by Revolut and are not stored on our servers.

10. Your Right of Withdrawal

If you are a consumer in the European Union, you normally have 14 days from the day you subscribe to withdraw from the contract without giving a reason.

When the right does not apply. Membership gives you immediate access to digital content. At checkout you are asked to confirm that you want that access straight away and that you understand you lose the 14-day right of withdrawal once it begins. If you tick that box and we grant access, the right of withdrawal no longer applies to that subscription period. This follows the exception for digital content in the EU Consumer Rights Directive.

If you did not give that confirmation, or if access was not granted to you, the 14-day right still stands. To withdraw, email us at matthew@matthewbartolo.com within 14 days with a clear statement that you are withdrawing, along with the email address on your account. You do not need to use a particular form of words. We will refund you within 14 days of receiving your notice, using the same payment method you originally used.

Renewals. The right of withdrawal applies to a new contract. It does not create a fresh 14-day window each time a subscription automatically renews, because you can cancel a renewal in advance at any time from your profile settings.

Event tickets. Bookings for events on a specific date are outside the statutory right of withdrawal under EU consumer law. Our own cancellation policy for events, which is more generous, is set out in Section 11.

None of the above affects your separate legal rights if the Service turns out to be faulty, unavailable, or not as described.

11. Event Tickets

One ticket per user per event. Duplicate purchases are not permitted.

Ticket pricing is determined by your subscription tier at the time of purchase. If you upgrade or downgrade your subscription after purchasing a ticket, the ticket price will not change retroactively.

Refunds and cancellations are available up until the event's registration deadline. After this deadline, tickets are non-refundable and cannot be cancelled.

If you cancel a ticket before the deadline, you will receive a full refund. Cancelled tickets may be re-purchased if spots are still available.

Purchased tickets remain valid regardless of changes to your subscription status. If your subscription expires or is cancelled, any previously purchased tickets will still be honoured.

For free events, a ticket registration is still required to confirm your attendance and reserve your spot.

If we cancel or reschedule an event, we will tell you as soon as we can and refund you in full if you cannot attend the new date.

12. Termination

We reserve the right to suspend or terminate your account if you materially breach these Terms and Conditions or engage in conduct that is unlawful or harmful to the community or the integrity of our services. Upon termination, your right to access the Members Portal will cease.

Except where your conduct is unlawful or makes immediate action necessary, we will give you notice and, where the problem can be put right, a reasonable opportunity to do so. If we terminate your account without you being at fault, we will refund the unused portion of your current billing period.

You may close your account at any time by contacting us. Closing your account also triggers deletion of your personal data as described in our Privacy Policy.

13. Disclaimer of Warranties

The Members Portal is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, error-free, or free from viruses, or that the content will produce any particular result for you.

To the extent permitted by law, we exclude implied warranties and conditions. However, as a consumer you keep your statutory guarantees under Maltese and EU consumer law: the Service must be as described, supplied with reasonable care and skill, and fit for its purpose. Nothing here overrides that.

14. Limitation of Liability

What we do not limit. Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded or limited.

What we do limit. Subject to the paragraph above, and to the fullest extent permitted by law, we are not liable for loss that was not reasonably foreseeable, for loss of profit or business opportunity, or for loss arising from your reliance on educational content in place of professional advice.

Cap.Subject to the first paragraph of this section, our total liability arising from or in connection with your use of the Service is limited to the greater of the total amount you paid us in the 12 months before the event giving rise to the claim, or €100.

Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.

15. Indemnity

If a third party brings a claim against us because you used the Service unlawfully, infringed someone's intellectual property, or redistributed our content in breach of Section 5, you agree to cover the reasonable losses and legal costs we incur as a direct result. This applies only to claims caused by your own deliberate or negligent acts, and we will tell you promptly about any such claim and give you the chance to be involved in how it is handled.

16. Changes to These Terms

We may modify these Terms and Conditions. We will notify members of significant changes by email or through a notice on the portal, at least 30 days before they take effect where the change affects a paid subscription. Your continued use of the Service after a change takes effect constitutes acceptance of the updated terms.

If you do not accept a change, you may cancel your subscription before it takes effect and we will refund the unused portion of your current billing period.

17. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of Malta, and the courts of Malta have jurisdiction over any dispute arising from them.

If you are a consumer resident in another EU member state, this does not deprive you of the protection of the mandatory consumer law of the country where you live, and you may also bring proceedings in the courts of that country. We will only bring proceedings against a consumer in the courts of the country where they live.

18. Complaints and Disputes

If something has gone wrong, please email matthew@matthewbartolo.com first. We aim to acknowledge complaints within 5 working days and to resolve them within 30 days.

If we cannot resolve matters between us, you may refer the complaint to the Office for Consumer Affairs at the Malta Competition and Consumer Affairs Authority (mccaa.org.mt). Consumers resident elsewhere in the EU can also approach their local consumer protection body or European Consumer Centre.

19. General

Severability: If any provision of these terms is found to be invalid or unenforceable, the rest remains in force and the invalid provision is treated as replaced by the closest valid equivalent.

Entire Agreement: These terms, together with our Privacy Policy and Cookie Policy, are the whole agreement between us about the Service. This does not limit your remedies for anything we told you that was untrue.

No Waiver: If we do not enforce a right straight away, we have not given it up.

Assignment: You may not transfer your account or your rights under these terms to anyone else. We may transfer our rights and obligations to another organisation, and if we do we will tell you beforehand and it will not reduce your rights.

Events Outside Our Control: We are not responsible for delays or failures caused by events beyond our reasonable control, such as outages at our hosting or payment providers, but we will take reasonable steps to restore the Service and will not charge you for a period during which it is unavailable for an extended time.
